Terms of Service

These Terms of Service ("Terms") govern access to and use of ReachAndPitch (the "Platform"), operated by Journeys That Matter Pvt. Ltd. ("Company," "we," "us," or "our"). By creating an account, subscribing to a plan, or otherwise using the Platform, you ("Customer," "you," or "your") agree to be bound by these Terms.

1. About the Platform

ReachAndPitch is an AI-powered SaaS quoting and CRM platform built for Destination Management Companies (DMCs), comprising three modules: Pitch (AI-assisted quoting for FIT, Group, and MICE travel), Reach (CRM and outbound lead generation), and Show Memory (trade show follow-up).

2. Eligibility

The Platform is intended for business use by DMCs and related travel-trade entities. By using the Platform, you represent that you are authorized to act on behalf of the business entity registering the account.

3. Account Registration

You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. Notify us immediately at reachpitchstitch@gmail.com of any unauthorized use.

4. Subscription Plans, Fees & Billing

• ReachAndPitch is offered under the Fiddah, Dhahab, and Luban subscription tiers, billed monthly or annually as selected at checkout.
• Fees are billed in advance for each billing cycle via our payment processor, Razorpay or someone else.
• Setup fees, where applicable, are waived on annual plans.
• Refunds and cancellations are governed by our separate Refund & Cancellation Policy, available at our website.
• We reserve the right to change subscription pricing with reasonable advance notice; changes will not apply retroactively to an active, already-paid billing cycle.
• Dhahab and Luban subscriptions are limited to a fixed number of DMCs per destination (destination exclusivity), varying by destination tier as set out in our Rate Card. Where a destination/tier combination is full, prospective customers may join a waitlist; we will contact the next customer on the list if a seat becomes available through cancellation. Fair use of "unlimited" features on any plan is further governed by our Fair Use Policy, available at our website.

5. Customer Data

• You retain ownership of all business data you upload or input into the Platform (rate sheets, quotes, RFQs, CRM and lead data, client and vendor information) ("Customer Data").
• You grant us a limited license to host, process, and use Customer Data solely to provide and improve the Platform on your behalf.
• You are responsible for the accuracy, legality, and rights clearance of any Customer Data you upload.
• You consent to Customer Data being processed by our AI service providers, current and future, as described in our Privacy Policy, for the purpose of powering the Platform's AI-assisted features.
• Our handling of personal data is further described in our Privacy Policy, available at [Privacy Policy URL].

6. Acceptable Use

You agree not to:

• Use the Platform for any unlawful purpose or in violation of applicable travel-trade regulations
• Attempt to reverse-engineer, copy, or resell the Platform or its underlying technology
• Upload data you do not have the rights to use
• Interfere with or disrupt the integrity or performance of the Platform
• Use automated means to scrape or extract data from the Platform outside provided integrations

7. Reach Outbound Communications & Anti-Spam Compliance

• The Reach module lets you send automated outbound email campaigns to prospective business contacts. You are solely responsible for ensuring your use of Reach complies with all applicable anti-spam, marketing, and data protection laws in the jurisdiction of each recipient, including (without limitation) the U.S. CAN-SPAM Act, the EU/UK GDPR and Privacy and Electronic Communications Regulations (PECR), and Canada's Anti-Spam Legislation (CASL).
• You represent that you have a lawful basis to contact each recipient, and that your campaign content, sender identification, and subject lines are accurate and not misleading.
• Every email sent through Reach includes a functional unsubscribe mechanism, and we maintain a suppression list to help prevent further contact with anyone who opts out. You must not attempt to contact a recipient through the Platform after they have unsubscribed.
• We may suspend your access to Reach if we reasonably believe your use of it violates this section or exposes us or our email-delivery infrastructure to abuse complaints, blacklisting, or legal risk.

8. Intellectual Property

The Platform, including its software, design, workflows, and underlying technology, is the property of Journeys That Matter Pvt. Ltd. and is protected by applicable intellectual property laws. Nothing in these Terms transfers ownership of the Platform to you.

9. Intellectual Property Complaints

If you believe content on the Platform infringes your copyright, trademark, or other intellectual property rights, send written notice to reachpitchstitch@gmail.com including: (a) identification of the work you claim is infringed; (b) identification of the allegedly infringing material and where it appears on the Platform; (c) your contact information; and (d) a statement that you have a good-faith belief the use is unauthorized. We will investigate and, where appropriate, remove or disable access to the material in question.

10. Accessibility

We are committed to making the Platform usable by as many people as possible and welcome feedback on any accessibility barriers you encounter. If you have difficulty accessing any part of the Platform, contact us at reachpitchstitch@gmail.com and we will work with you to provide the information or functionality you need through an alternative means.

11. Third-Party Services

The Platform may integrate with or rely on third-party services (including Razorpay for payments). Your use of such third-party services is subject to their respective terms and policies, and we are not responsible for their acts or omissions.

12. Export Control, Sanctions & Third-Party Vendor Compliance

• You may not access or use the Platform if you are located in, or are a national or resident of, any country or region subject to comprehensive trade sanctions or embargoes under applicable law, or if you are listed on any restricted-party or denied-persons list.
• Our ability to provide the Platform depends on services from third-party vendors, including our payment processor and our AI service providers. These vendors impose their own acceptable-use, export-control, and compliance conditions on how their services may be used. We reserve the right to enforce these third-party conditions against you, including by restricting or suspending your access to any feature, where necessary for us to remain compliant with our own vendor agreements.
• Our AI service providers' own terms of service govern how they process, retain, or use data submitted to their systems, including any model-training practices; our commitments to you regarding AI processing are automatically covered by, and limited to, what our AI service providers commit to in their own terms.

13. Service Levels & Confidentiality

Any service-level commitments (such as uptime or support response times) or confidentiality obligations beyond those in these Terms are set out only in a separate Service Level Agreement (SLA) or Non-Disclosure Agreement (NDA) executed directly between you and the Company. Where such an agreement exists and conflicts with these Terms, the executed SLA or NDA governs to the extent of that conflict, for the customer that signed it.

14. Term & Termination

• These Terms remain in effect for as long as you maintain an active subscription.
• You may cancel your subscription per our Refund & Cancellation Policy.
• We may suspend or terminate your access if you breach these Terms, including non-payment of fees, subject to reasonable notice where practicable.
• Upon termination, your right to access the Platform ends; provisions that by their nature should survive (including Sections 8, 15, 16, 17, and 19) will survive termination.

15. Disclaimers

The Platform is provided "as is" and "as available." While we strive for accuracy in AI-generated quotes and outputs, we do not guarantee that the Platform will be error-free, uninterrupted, or fit for every specific business need. You remain responsible for reviewing and validating quotes and pricing before sending them to your clients. This includes, without limitation, temporary unavailability caused by scheduled maintenance, unplanned outages, server or infrastructure failures, or disruptions to third-party services the Platform depends on. We will make reasonable efforts to restore service promptly but do not guarantee any specific recovery time.

16. Force Majeure

We will not be liable for any failure or delay in performance resulting from causes beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, riots, government action, labor disputes, internet or telecommunications infrastructure failures, power outages, or failures or outages of third-party services we rely on (including our hosting, payment, or AI service providers).

17. Limitation of Liability

To the maximum extent permitted by applicable law, Journeys That Matter Pvt. Ltd. shall not be liable for any indirect, incidental, special, or consequential damages arising from your use of the Platform. Our aggregate liability under these Terms shall not exceed the fees paid by you in the 2 months preceding the claim.

18. Assignment

The Company reserves the right to assign, transfer, or novate this Agreement, in whole or in part, including all rights, obligations, and interests hereunder, to any affiliate, subsidiary, parent company, or other entity under common control with the Company, or to any successor entity in connection with a merger, acquisition, corporate reorganization, or sale of all or substantially all of its assets, without requiring your prior consent and without the need to renegotiate the terms of this Agreement. Any such assignment will not diminish your rights or increase your obligations under these Terms. You may not assign or transfer your rights or obligations under these Terms without our prior written consent. These Terms shall be binding upon and inure to the benefit of the parties and their respective permitted successors and assigns.

19. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of India. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts at Noida, Uttar Pradesh, India.

20. Changes to These Terms

We may update these Terms from time to time. Material changes will be reflected by updating the "Last Updated" date above, and where changes are significant, we will provide reasonable notice. Continued use of the Platform after changes take effect constitutes acceptance of the revised Terms.
